These Terms of Service ("Terms") constitute a legally binding agreement between you and Loopz LLC ("Loopz," "we," "us," or "our") governing your use of the Loopz caddie management platform, including the website at loopzllc.com and all associated web applications and services (collectively, the "Service").
By creating an account, logging in, or otherwise accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you may not use the Service.
If you are accepting these Terms on behalf of a golf club or other organization, you represent that you have the authority to bind that organization to these Terms.
Loopz is a web-based caddie management software platform designed for private golf clubs. The Service enables golf clubs to:
Loopz is a software platform only. We are not a staffing agency, caddie employer, or party to any employment relationship between clubs and caddies. Loopz provides tools; the golf club remains solely responsible for its caddie program operations and any relationships with its caddies and members.
The Loopz platform serves two distinct categories of users:
Club Administrators are the golf clubs, club management companies, or authorized representatives ("Clubs") that enter into a usage agreement with Loopz to access the Service on behalf of their organization. Club Administrators are our direct B2B customers and are responsible for:
End Users are club members and caddies who access the Service through an account created or authorized by a Club Administrator. End Users do not have a direct contractual relationship with Loopz for billing purposes, but are subject to these Terms in their use of the platform. End Users should be aware that their data and activity within the platform is visible to authorized Club Administrators.
When you create or use a Loopz account, you agree to:
Loopz reserves the right to suspend or terminate accounts that we reasonably believe have been compromised, are being used fraudulently, or are in violation of these Terms.
You agree to use the Service only for its intended purposes related to golf club caddie management. You agree not to:
We reserve the right to investigate suspected violations and to suspend or terminate access without notice if we determine that a violation has occurred.
Message and data rates may apply. By enabling SMS notifications in the Loopz app, you consent to receive automated text messages from Loopz LLC. Message frequency varies.
Caddies who opt in to text notifications through the Loopz caddie portal expressly consent to receive automated transactional SMS messages from Loopz LLC related to their caddie scheduling activities. This includes new caddie request alerts, tee time cancellations, and Loopz Network guest loop requests. Consent is not a condition of using the platform.
SMS notifications are enabled by toggling on the "Text Notifications" switch within the Loopz caddie portal. This toggle is off by default. A phone number must be on file before SMS notifications can be activated.
You may opt out of SMS notifications at any time by:
After opting out via STOP reply, you will receive a one-time confirmation message. To resume notifications, re-enable the toggle in the app. For assistance, reply HELP to any message or contact [email protected].
Message frequency varies based on your booking activity and the volume of requests your club generates. A typical active caddie may receive a small number of messages per week during the golf season.
SMS messaging is available on major US wireless carriers. Carrier support may vary. Loopz is not liable for delayed or undelivered messages.
Access to Loopz for Club Administrators is priced on a usage-based model. There are no recurring flat-rate fees or automatic renewals. Billing is determined by actual platform usage each month.
At the end of each calendar month, Loopz reviews the number of accepted caddie loops completed at your club during that billing period. A caddie loop represents one caddie paired with one golfer for a round. Loopz will issue an invoice to your club for the total loops multiplied by your club's agreed per-loop rate.

Each club's per-loop rate is individually agreed upon with Loopz LLC prior to or at the time of onboarding. The agreed rate will be reflected on all invoices. Changes to the per-loop rate require written agreement from both parties and will apply to future billing periods only.
Payment is due within 30 days of the invoice date (Net 30). Invoices include a unique invoice number (format: LZ-YYYYMM-###) which should be referenced with any payment. Loopz reserves the right to suspend access if payment is not received within the agreed payment period, following reasonable notice.
If you believe an invoice contains an error, contact [email protected] within 15 days of the invoice date. Loopz will investigate and, if an error is confirmed, issue a corrected invoice or credit as appropriate.
End Users (club members and caddies) do not pay Loopz directly and have no billing obligations under these Terms.

The Loopz platform, including its software, design, branding, and all associated content created by Loopz, is owned by Loopz LLC and protected by applicable intellectual property laws. Nothing in these Terms grants you any ownership interest in the Service.
You retain ownership of all data you input into the platform (member lists, tee times, notes, etc.). By using the Service, you grant Loopz a limited license to store, process, and display that data solely to provide the Service to you. We do not claim ownership of your data.
If you provide feedback, suggestions, or ideas about the Service, you grant Loopz an unrestricted, royalty-free right to use that feedback for any purpose, including product improvement, without any obligation to you.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
To the fullest extent permitted by applicable law, Loopz disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that:
You use the Service at your own risk. Loopz is a software tool, and ultimate responsibility for caddie program operations rests with the golf club.
To the maximum extent permitted by applicable law, Loopz LLC and its officers, directors, employees, and agents shall not be liable for:
In no event shall Loopz's total liability to you for all claims arising out of or related to these Terms or your use of the Service exceed the greater of (a) the amount you paid to Loopz in the twelve months preceding the claim, or (b) one hundred dollars ($100).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
You agree to defend, indemnify, and hold harmless Loopz LLC and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in New Jersey, and you consent to personal jurisdiction in those courts.
Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute informally by contacting [email protected]. We will make a good faith effort to resolve concerns within 30 days.
We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify Club Administrators by email. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
If you do not agree to the updated Terms, your sole remedy is to discontinue use of the Service. Any usage incurred prior to discontinuation remains billable under the then-current Terms.
